Change Company Name
A Company’s name defines its business and creates an identity among the competitors. There are various reasons due to which a company may decide to change its existing name. Some of them are :-
- When a company decides to expand its business and the name does not fit in.
- If the name is too generic or common or difficult to pronounce by people.
- If the company finds the name to be too small or too big.
- If the name is non copyright-able and the company wishes to expand world-wide.
A company may change its name subject to the following conditions
- The consent of shareholders through special resolution.
- Name approval by MCA is required.
- The change of name shall not impact its legal existence.
- The proposed name shall be desirable and not similar to any of the existing company name.
The following eForm need to be filed:
- The existing company needs to reserve the name through ‘RUN’.
- After the name is approved, MGT-14 (necessary resolution for alteration of Memorandum of Association and Articles of Association (MOA and AOA) needs to be filed.
- eForm INC-24 (Application for approval of Central Government for change of name) needs to be filed.to give effect to change in name.
